The Role

We have an exciting opportunity for an experienced Commercial Lawyer to join our European legal team as Legal Counsel for our office in Breukelen, Netherlands. The successful candidate will report to the Senior Managing Counsel for North, South and Central Europe and will be responsible for providing general commercial and company law advice and litigation support to various teams across Benelux.

The ideal candidate will have at least 5 years post-qualification experience, as well as the drive and ability to work autonomously. This would be an excellent development opportunity for a Lawyer with a solid background in contract and commercial law, wanting to increase their level of responsibility in an in-house role in a world-renowned multinational.

As the Legal Counsel your main responsibilities will be:

  • Provides prudent, commercially practical advice and innovative solutions in a timely fashion to support all aspects of the business, while liaising directly with the Board of Directors and all other departments to meet their business requirements.

  • Works with the business to structure negotiations and administer contracts, programs and other documents that establish business relationships with business partners, customers and within the three jurisdictions.

  • Particular core of activities: reviewing, drafting, commenting and negotiating various standard and non-standard agreements (e.g. sales, leasing, technical services, managed print services, software license, software support, in-/outsourcing) and requests for proposals/tenders with commercial and public customers; drafting, negotiating and implementing various cooperation, distributor and reseller agreements.

  • Managing legal disputes and litigation internally or coordinating with external counsel on matters assigned to law firms.

  • Attending to company secretarial matters for the various Xerox Benelux legal entities handle aspects of the corporate formalities such as the drafting of relevant documentation (e.g. shareholder’s resolutions, powers of attorney, supervisory board meetings, maintaining articles of association), providing general corporate law advice, managing registration of corporate documents and effectively organizing and maintaining corporate databases.

  • Providing assistance on various other legal topics, e.g. privacy law, environment law, internet aspects, trademarks, labour law, ARD/TUPE, competition law and public procurement issues.

  • Actively participating in the realization of business development activities e.g. as the development of new standard contracts or sales programs for use in country and on a pan European basis.

  • Following legal developments closely and applying directly to Xerox in the Benelux region as necessary. Acting as a legal sparring partner for the organization, actively advising management in their decision making process indicating legal options and constraints.

  • Overseeing company compliance with applicable internal and external rules and regulations. Proactively identifying legal and compliance issues and concerns in relation to such rules and regulations.

  • Liaise with external lawyers, notaries and tax consultants and colleagues in Office of General Counsel in USA and Europe.

Key Skills and Experience:

  • Master’s Degree A completed university degree in Dutch law, civil law specialization.

  • 5 years post qualification experience.

  • Experience working on Benelux matters for a multinational, commercial organization, preferably in a similar position and/or working environment.

  • Significant experience in public procurement regulations and reviewing and responding to bids and tenders from a legal perspective.

  • Extensive knowledge in intellectual property law, IT contract law, company and commercial law. Competition law is an advantage.

  • Experience working with operational, financial, HR, legal and statutory procedures and regulations.

  • Able to constantly adapt to changing operational and managerial circumstances.

  • Excellent communication, drafting and negotiating skills.

  • Excellent interpersonal and conflict resolution skills with the ability to work in a collaborative, team oriented environment, while also able to work independently.

  • Excellent professional ethics integrity and judgment.

  • Able to work well under pressure.

  • Creative, precise, eager to learn, takes initiative, a 'can-do' working attitude.

  • Fluent in Dutch and English, both orally and written

  • Fluent French would be an advantage

Additional Role Requirements:

  • This position will be based in Breukelen (NL), but you will be required to travel in Benelux to provide legal support in country and attend meetings.
