We have an exciting opportunity for an experienced Commercial Lawyer to join our legal team in Uxbridge in the position of Legal Counsel. The successful candidate will be part of the Office of General Counsel for International Operations, a team of just over 30 in-house legal professionals in 16 countries. Collectively this full-house team provides support to Xerox’s business operations in EMEA, Western Asia and Latin America. Nine members of this team are based in Uxbridge
This is a transactional role, supporting all manner of pre-contract, contracting and occasionally post-contract activity that supports winning and entering into contracts with Xerox’s customers. Contracts are typically valued in millions to tens of millions of US$.
At a high level, from Day 1, this role requires you to:
provide appropriate legal support to the IO region, supporting regional and global multi-country contracts for any of Xerox’s offerings in the direct marketplace, together with some UK-specific operating company support
occasionally support to Xerox’s Procurement team related to any specific contracts with customers may be required
occasionally undertake special projects as may arise (such as briefing on new legislation, to OGC and/or business colleagues)
be willing and ready to expand and grow your legal knowledge and experience, by developing specific subject matter expertise in areas familiar or new to you, such as IP, data privacy, competition, as workload permits (personal development is encouraged)
As a Legal Counsel your main responsibilities will be:
Provide timely legal advice and support to IO stakeholders, on UK, pan-European and global contractual matters, engaging and liaising with local internal or external legal counsel where appropriate.
Lead or support contract negotiations with third parties, in particular multinational customers, and sometimes also sub-contractors, in order to facilitate the conduct of business and protect Xerox’s interests.
Lead or support contract negotiations arising out of local operating companies within IO and, in particular, provide advice and support on governance and ensure adherence to corporate polices.
Support and work with Xerox Corporation (the parent company) and its OGC team when supporting or leading contract negotiations arising out of the IO region.
Perform legal analysis and deliver practical solutions to maximise returns to Xerox and/or avoid adverse legal and/or commercial consequences.
Advise and/or present to senior management (including at board level) on legal considerations to be taken into account in developing business strategy and (as required) contracts on a deal by deal basis.
Offer support and training to members of the IO region operating company legal counsel regarding internal process and policies.
As Legal Counsel your skills, qualifications and qualities would include:
University degree is essential, LLB preferable;
Qualified solicitor or barrister essential, in UK or another common law jurisdiction preferred;
Experience gained in drafting contracts in the Information Technology sector;
Extensive knowledge of and significant experience in UK contract law;
Good knowledge of and experience in EU and UK data protection law;
Knowledge of and experience in intellectual property law;
Knowledge of and familiarity with public procurement regulations, outsourcing contracts and, from a legal perspective, preparing bids and tenders;
Experience of working with operational, financial, HR, legal and statutory procedures and regulations;
Familiarity with EU and UK competition law;
Familiarity with TUPE desirable;
Familiarity of working with/in a US technology company desirable;
Familiarity with GAAP and revenue recognition principles desirable;
Very good attention to detail;
Very comfortable working with all levels of business colleagues;
Ability to work autonomously;
Good knowledge of IT (Microsoft applications in particular);
Good written and verbal communication and presentation skills ;
Good negotiation skills;
Good time management, work organisation and prioritisation skills;
Demonstrated ability to deliver presentations and/or training across all levels of Xerox’s business, both to OGC and other stakeholders in the business;
Sound degree of judgement, courage and conviction;
Willingly be part of, and integrate into, the existing team, share knowledge.
Permanent, full-time, 37.5 hours per week.
Location: Uxbridge, West London (Zone 6, Metropolitan Line, London Underground)
Occasional working from Xerox’s other UK offices; very occasionally international travel may be required. This position also has the opportunity for working from home.
