ROLE

The Director of Executive Compensation & Equity Administration, is a key member of the Total Rewards COE. Reporting to the Vice President of Executive & Global Compensation, this role will oversee the design, development, execution and administration of the Company’s executive and equity compensation programs across the globe.

PRIMARY RESPONSIBILITIES :

Executive Compensation

  • Manages all executive compensation programs. Evaluates competitive practices, recommends action or programs based on findings.

  • Ensures that programs are aligned with Executive Compensation strategies. Performs analysis on the effectiveness and competitiveness of existing programs, models potential impact of alternatives and future programs.

  • Provides expert support on executive job evaluations and provides compensation recommendations for both internal and new hire positions. Engages with internal stakeholders as needed.

  • Provides analytical and technical support for executive compensation programs and assists in preparing presentations for review / approval by the Compensation Committee of the Board of Directors.

  • Ensures executive compensation and equity program materials are available, accurate, complete, and prepared on a timely basis.

  • Leads the internal team in the development of the proxy CD&A development team, prepares the Proxy Compensation tables and assists with the CD&A for the Proxy statement. Maintains oversight for stock plan data provided for 10K, 10Q, and Section 16 filings.

  • Develops executive compensation communications and ensures that messaging is consistent with Xerox strategies and priorities.

  • Remains current on legislative changes relative to plan regulations, procedure changes, how they impact the compensation function and mandated disclosures.

  • Advises Management and Human Resources staff on compensation issues; partners with Human Resources staff to execute specific compensation processes and procedures.

  • Develops effective working relationships with various internal and external resources (including legal, corporate accounting and finance, payroll, tax, benefits, etc.) to ensure that all actions, plans and programs pertaining to executive compensation comply with internal corporate governance guidelines and external regulatory requirements.

  • Coordinates and liaises with the executive compensation consultant to the Compensation Committee, providing appropriate information and homogenizing strategy and materials between consultants and Management.

  • Prepares annual shareholder outreach materials.

  • Leads or assists with special projects, including merger and acquisition activities and handles ad hoc assignments as directed.

  • Manages external vendors and ensures quality performance and timely deliverables.

Equity Compensation

  • Oversees the annual and quarterly off-cycle long-term incentive planning process (global guidelines, budgets, collateral materials for planning managers, global legal/regulatory compliance, CEO approval process, participant communications).

  • Oversees new stock award delivery, tracking and vesting, including administration of on-line award acceptance, in close collaboration with the stock plan service provider (Morgan Stanley).

  • Ensures compliance with regulatory and policy requirements (including Sarbanes Oxley compliance) and various filings.

  • Develops themes, prepares and manages Long-Term Incentive communications. Ensures that employee communications provide clear messaging and explanations that support strong perceived value of equity programs.

  • Leverages technology for continuous improvement in the communication and administration of equity programs.

  • Manages interface of internal Xerox systems with Morgan Stanley system.

QUALIFICATIONS :

  • Prior experience in Executive Compensation / Finance / Accounting and / or stock plan administration in a global company. Ability to maintain complete confidentiality, particularly on sensitive matters.

  • Ability to comprehend, manage, assess and integrate a variety of complex issues and viewpoints.

  • Knowledge of regulatory and legislative matters that impact compensation.

  • Robust financial acumen, as well understanding of tax/accounting/legal/regulatory issues related to executive compensation programs.

  • Strong analytical and problem-solving skills, with an eye for detail and accuracy; ability to do root cause analysis.

  • Demonstrated knowledge designing and implementing equity programs in different countries.

  • Excellent communication skills, both verbal and written; strong power point and excel skills.

  • Strong project management skills; ability to manage multiple projects at the same time.

  • Ability to create a workplace environment that fosters collaboration, trust and excellence.

  • Education: Bachelor degree required, preferably in Economics, Finance, Accounting, Mathematics.
